Please read these Terms of Use ("Agreement" or "Terms of Use") carefully before using https://www.soundscape.io ("Site") operated by Soundscape Media Inc. ("us", "we", or "our"). This Agreement sets forth the legally binding Terms of Use for your use of the Site at https://www.soundscape.io.

By accessing or using the Site in any manner, including, but not limited to, visiting or browsing the Site, contributing content or other materials to the Site or downloading music from the Site, you agree to be bound by these Terms of Use. If you do not wish to be bound by these Terms of Use, please exit the Site now.

By using this Site, you represent and warrant that you are over the age of majority in your place of residence (or you have the permission of a parent or guardian) and are lawfully able to accept this Agreement. If you are using the Site on behalf of any entity, you further represent and warrant that you are authorized to accept this Agreement on such entity's behalf, and that such entity agrees to indemnify us for violations of this Agreement.

If you are dissatisfied with our Site, content and/or services available on our Site, your sole remedy is to cease using the Site, content and/or services.

Changes To Terms of Use
We reserve the right, at our sole discretion, to modify or replace these Terms of Use by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Use.

Consent to Communications
By registering for an account on the Site, you hereby give consent to receive email communications from us. This consent can be revoked at any time by unsubscribing from these mailings.

Intellectual Property
The Site and its original content, features and functionality are owned by Soundscape Media Inc. and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

Limited License to Use Site
Soundscape Media Inc. grants you a non-exclusive, non-transferable, limited license to use the Site in accordance with this Agreement.

Accessing this Site via automated means is expressly forbidden, except where stated otherwise explicitly or implicitly (APIs, RSS feeds, etc.). Using bots, crawlers, scripts or other automated means to access and manipulate the content of this Site, including streaming, downloading and posting comments, is expressly forbidden.

For Users of Our Music Licensing Services
By downloading music from the Site, you agree to be bound by the Project License generated by the Site for each batch of songs downloaded for your project. This Project License is titled “Subscription Master Use, Synchronization and Performance License” and contains the license terms for each batch of song downloads and is stored in your account on the “Transactions” page where it can be downloaded at any time.

If we terminate your subscription, we may give you a prorated refund based on the number of days remaining in your account unless we terminate your service due to conduct that we determine, in our discretion, violates the Terms of Use, Privacy Policy or License Agreement.

You may cancel your subscription at any time by visiting your profile page and selecting the option to cancel your subscription. You will not receive a refund of any fees paid for cancelling your subscription before the end of your paid subscription period.

Our Site may contain links to third-party sites that are not owned or controlled by Soundscape Media Inc. Soundscape Media Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party site that you visit.

Limitation Of Liability
In no event shall Soundscape Media Inc., or its directors, employees, partners, agents, suppliers, or affiliates, be liable for damages, direct or consequential, resulting from your use of the Site, and you agree to defend, indemnify and hold us harmless from any claims, losses, liability costs and expenses, including but not limited to legal fees, arising from your violation of any third-party's rights.

Warranty Disclaimer
Your use of the Site is at your sole risk. The Site is provided on an "as is" and "as available" basis. The Site is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Soundscape Media Inc., its subsidiaries, affiliates, and its licensors do not warrant that a) the Site will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Site is free of viruses or other harmful components; or d) the results of using the Site will meet your requirements.

Termination
We may terminate your access to the Site, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law
This Agreement (and any further rules, policies, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of Ontario, Canada, without giving effect to any principles of conflicts of law. You hereby consent and submit to the exclusive jurisdiction of the courts of the province of Ontario in any action or proceeding related to this website and agree not to commence any such action or proceeding except in Toronto, Ontario, Canada.
